Terms of Service

These Terms of Service ("Terms") are an agreement between you and Tabacco Development Inc., doing business as MySideline ("MySideline," "we," "us," or "our"). They govern your use of mysideline.ai, the MySideline web application, and our email and text message notifications (together, the "Service"). By using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

MySideline is a constraint-aware scheduling platform for youth sports leagues. It helps league administrators build schedules around field and venue availability and other constraints, manage schedule changes and game swaps, and send notifications to coaches and parents about schedule changes, game reminders, and swap requests. We may update, add, or remove features over time.

2. Eligibility and accounts

• You must be at least 18 years old (or the age of majority where you live) to create an account or use the Service. Children may not create accounts.
• If you use the Service on behalf of a league or organization, you represent that you are authorized to bind it to these Terms.
• You are responsible for keeping your login credentials secure and for activity under your account. Tell us promptly at support@mysideline.ai if you suspect unauthorized use.
• You agree to provide accurate information and keep it up to date.

3. League data and your content

You and your league retain ownership of the information you submit to the Service, such as team rosters, field availability, and schedules ("Your Content"). You grant us a limited, non-exclusive license to host, store, process, and display Your Content solely to provide and improve the Service and as described in our Privacy Policy.

If you provide information about other people, including youth players, coaches, or parents, you represent that you have the right and any necessary permissions to provide it, including consent from a parent or legal guardian where information relates to a minor. Please provide only the information needed for scheduling and notifications.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Upload information you do not have the right to share, or that is false, harassing, or harmful;
• Add another person's phone number for text messages without their consent;
• Attempt to access accounts, leagues, or data you are not authorized to access;
• Interfere with or disrupt the Service, or attempt to probe, scan, or test its vulnerabilities without our written permission;
• Copy, reverse engineer, or resell the Service, except as permitted by law; or
• Use automated means to access the Service in a way that places unreasonable load on it.

5. Schedules and notifications

Schedules are created and published by league administrators, and games may change because of weather, field closures, or other events outside our control. We work to deliver accurate, timely notifications, but we do not guarantee that any notification will be delivered or received on time. Always confirm game details with your league or coach when timing matters. MySideline is a scheduling tool; your league remains responsible for its games, fields, and participants.

6. SMS Terms

These SMS Terms apply to the MySideline text message program.

• Program name: MySideline schedule alerts.
• Program description and message types: automated text messages about game schedule changes, game reminders, and game swap requests for the youth sports teams and leagues you are associated with.
• How to opt in: by entering your mobile number and checking the optional SMS consent box on our SMS opt-in page or in your MySideline account settings.
• Message frequency: message frequency varies based on your league's schedule and activity.
• Cost: Message and data rates may apply. Check your mobile plan for details.
• Opt out: reply STOP to any message to opt out at any time. You will receive one final message confirming that you have been unsubscribed, and you will receive no further text messages unless you opt in again.
• Help: reply HELP to any message for help.
• Support contact: support@mysideline.ai.
• Eligibility: you must be 18 or older to opt in. We do not send text messages to minors.
• Carrier liability: carriers are not liable for delayed or undelivered messages.
• Consent is optional: consent to receive text messages is not a condition of using the Service or of purchasing any goods or services.
• Your number: you represent that you are the account holder or authorized user of the mobile number you provide. If you change or give up that number, please opt out or update your number so messages are not sent to someone else.
• Privacy: see our Privacy Policy, including its SMS section. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

7. Fees

Some features of the Service may be offered for a fee under a separate order or agreement with a league or organization. Any fees, billing terms, and cancellation terms will be presented to you before you agree to pay.

8. Intellectual property

The Service, including its software, design, text, and trademarks (including the MySideline name and logo), is owned by Tabacco Development Inc. and protected by law. We grant you a limited, revocable, non-transferable right to use the Service in accordance with these Terms. If you send us feedback or suggestions, we may use them without obligation to you.

9. Third-party services

The Service relies on third-party providers, such as hosting, email, and SMS delivery providers, and may link to or integrate with third-party services used by your league. We are not responsible for third-party services, and your use of them may be subject to their terms.

10. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT SCHEDULES WILL SATISFY EVERY CONSTRAINT, OR THAT NOTIFICATIONS WILL BE DELIVERED.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Tabacco Development Inc. AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Tabacco Development Inc. from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, Your Content, or your violation of these Terms or the rights of others.

14. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in that state, and you and we consent to their jurisdiction. Before filing a claim, you agree to contact us at support@mysideline.ai and try to resolve the dispute informally.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the effective date above, and if the changes are material, we will provide additional notice, such as through the Service or by email. Continuing to use the Service after changes take effect means you accept the updated Terms.
